Terms of Service

1. Acceptance of Terms

By accessing or using the huumaan platform and services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, and references to "you" include that organisation. If you do not agree to these Terms, do not use the Service. We may update these Terms from time to time; we will notify you of material changes by email or via the platform. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.

2. Description of Service

huumaan provides AI-powered communication agent software, including the agents Maya (customer support), James (sales), and Sofia (marketing), accessible via our web dashboard, API, and integrations. The Service enables businesses to automate and augment their customer and prospect communications across email, SMS, WhatsApp, and live chat channels. The Service is provided on a subscription basis and includes access to the huumaan dashboard, agent configuration tools, conversation inbox, integrations marketplace, and analytics features as described in your chosen plan.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@huumaan.ai if you suspect unauthorised access to your account. You may not share your account credentials with third parties or create accounts on behalf of others without their consent. We reserve the right to suspend or terminate accounts where we have reason to believe account information is inaccurate or credentials have been compromised.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You must not use the Service to send illegal, harassing, defamatory, or deceptive communications; to contact individuals who have not consented to being contacted; to violate the terms of any third-party communication platform; or to attempt to reverse-engineer, decompile, or extract the underlying models, algorithms, or source code of our agents. You must not abuse, overload, or attempt to circumvent the platform's security controls, rate limits, or usage policies. We reserve the right to suspend or terminate access for any violation of these provisions.

5. Subscription & Billing

The Service is offered on monthly or annual subscription plans as described on our pricing page. All subscriptions auto-renew unless cancelled at least 24 hours before the end of the current billing period. You authorise us to charge the payment method on file at the start of each billing cycle. Annual subscriptions are eligible for a 30-day refund from the date of purchase if you are not satisfied — contact billing@huumaan.ai. Monthly subscriptions are non-refundable. We reserve the right to change our pricing with 30 days' notice; any price changes will take effect at the next renewal date.

6. Intellectual Property

huumaan and its licensors own all rights, title, and interest in the Service, including the software, agent models, branding, and documentation. These Terms do not grant you any ownership rights in the Service. You retain full ownership of all data you upload to or generate through the Service ("Customer Data"), including conversation content, contacts, and custom configurations. You grant huumaan a limited licence to process your Customer Data solely to provide and improve the Service, subject to our Privacy Policy. huumaan may use anonymised and aggregated data derived from platform usage to improve our models and services.

7. Data Processing

To the extent that the Service processes personal data on your behalf, huumaan acts as a data processor and you act as the data controller. We process personal data in accordance with our Privacy Policy and the Data Processing Agreement (DPA) available at huumaan.ai/dpa. If you require a signed DPA for compliance purposes, please contact legal@huumaan.ai. We maintain appropriate technical and organisational measures to protect personal data and comply with applicable data protection laws including the UK GDPR and EU GDPR.

8. Limitation of Liability

To the maximum extent permitted by applicable law, huumaan shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising out of or in connection with your use of the Service. Our total aggregate liability to you for any claims arising under or related to these Terms shall not exceed the amount you paid to us in the twelve months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits our liability for fraud, death or personal injury caused by our negligence, or any other liability that cannot be excluded by law.

9. Termination

Either party may terminate the agreement by providing 30 days' written notice. You may cancel your subscription at any time through the dashboard; your access will remain active until the end of the current billing period. We may terminate or suspend your access immediately and without notice if you materially breach these Terms, engage in fraudulent or illegal activity, or if required by law or regulatory authority. Upon termination, your right to access the Service ceases and we will delete your Customer Data within 90 days, unless you request an earlier deletion or export.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer located in the EU, you may also have the right to bring proceedings in the courts of your country of residence. Nothing in this clause affects your statutory rights as a consumer where applicable.
